Engagement and Scope of Work
Service Agreement
All services are provided under written agreements that specify:

- Fee structure and payment terms
- Responsibilities of both parties
- Specific terms and conditions applicable to the engagement
Variations to Scope
Any changes to the agreed scope of work must be documented in writing and agreed upon by both parties. Additional work outside the original scope will be charged separately at our prevailing rates.
Fees and Payment Terms
Fee Structure
Our fees are based on:

Payment Terms
- Payment terms are typically 30 days from invoice date unless otherwise agreed
- Late payment charges may apply as per statutory rates
- We reserve the right to suspend services for overdue payments
- All fees are exclusive of VAT unless stated otherwise
Expenses
Reasonable expenses incurred in the provision of services will be charged separately with prior client approval where the expense exceeds £100.
Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information necessary for service delivery
- Granting timely access to personnel, documents, and systems as required
- Making decisions and providing approvals within agreed timeframes
- Ensuring compliance with all applicable laws and regulations
- Obtaining necessary permits, licenses, and authorizations
- Payment of fees in accordance with agreed terms
Intellectual Property Rights
Company IP
All pre-existing intellectual property, methodologies, tools, and know-how owned by the Company remain our exclusive property.
Client IP
All pre-existing intellectual property owned by the Client remains the Client's exclusive property.
Developed IP
Intellectual property specifically developed for the Client during the engagement will be owned by the Client, subject to our right to retain and use general methodologies and know-how.
Confidentiality
Both parties agree to:
- Maintain strict confidentiality of all confidential information
- Use confidential information solely for the purpose of the engagement
- Not disclose confidential information to third parties without written consent
- Return or destroy confidential information upon termination
This obligation survives termination of the engagement and continues for a period of 5 years.
Limitation of Liability
General Limitations
To the maximum extent permitted by law:
- Our total liability is limited to the fees paid for the specific service giving rise to the claim
- We exclude liability for indirect, consequential, or special damages
- We exclude liability for loss of profits, revenue, or business opportunities
- Our liability for any single claim or series of connected claims is capped at £100,000
Professional Indemnity
We maintain professional indemnity insurance of not less than £2,000,000 per claim.
Termination
Termination Rights
Either party may terminate an engagement:
- For convenience with 30 days written notice
- Immediately for material breach that remains uncured after 14 days notice
- Immediately if the other party becomes insolvent or enters administration
Effect of Termination
Upon termination:
- All unpaid fees become immediately due and payable
- Each party returns confidential information
- Surviving provisions continue in effect
- We may retain working papers and copies for regulatory compliance
